Welcome to Q-Check. These Terms of Use ("Terms") govern your access to and use of the Q-Check digital coat-check platform, website, mobile applications, and related services (collectively, the "Service") provided by QR Coats Inc. ("Q-Check," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of the Service after any changes indicates your acceptance of the modified Terms.

2. Description of Service

Q-Check provides a digital coat-check management platform that enables: For Venues: - Digital claim pass generation and management - Staff console for check-in/check-out operations - Real-time inventory tracking - Analytics and reporting dashboard - Payment processing integration For Guests: - Digital wallet passes (Apple Wallet, Google Wallet) - QR code-based claim tickets - Real-time status notifications - Pre-payment options The Service is designed for use by businesses and their guests in hospitality, entertainment, and event venues.

3. Account Registration and Security

For Business Accounts: To use certain features of the Service, you must register for an account. You agree to: - Provide accurate, current, and complete information during registration - Maintain and promptly update your account information - Maintain the security and confidentiality of your login credentials - Notify us immediately of any unauthorized access to your account - Accept responsibility for all activities that occur under your account Account Eligibility: You must be at least 18 years old and have the legal authority to bind your organization to these Terms.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to: - Use the Service in any way that violates applicable laws or regulations - Use the Service to transmit any malicious code, viruses, or harmful content - Attempt to gain unauthorized access to any part of the Service - Interfere with or disrupt the Service or servers/networks connected to the Service - Use the Service to infringe on the intellectual property rights of others - Use the Service to collect or store personal data about other users without their consent - Resell, redistribute, or sublicense the Service without our written consent - Reverse engineer, decompile, or attempt to extract source code from the Service - Use automated systems to access the Service without our permission

5. Fees and Payment

Pricing: Our pricing is based on a per-transaction model. Specific pricing terms will be outlined in your service agreement. We reserve the right to modify our pricing with 30 days' notice. Payment Terms: - Payments are processed through secure, PCI DSS compliant payment processors - Invoices are issued monthly based on transaction volume - Payment is due within 30 days of invoice date - Late payments may incur interest charges as permitted by law Refunds: Refunds for disputed transactions will be handled according to our dispute resolution process outlined in your service agreement.

6. Intellectual Property

Our Intellectual Property: The Service, including all content, features, functionality, software, and technology, is owned by QR Coats Inc. and protected by Canadian and international copyright, trademark, and other intellectual property laws. License Grant: Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes. Restrictions: You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse engineer or attempt to extract the source code of our software. Feedback: Any feedback, suggestions, or ideas you provide about the Service may be used by us without any obligation to you.

7. Data and Privacy

Data Ownership: You retain ownership of all data you input into the Service ("Your Data"). You grant us a license to use Your Data solely to provide and improve the Service. Data Processing: We process personal data in accordance with our Privacy Policy and applicable data protection laws. As a data processor, we will: - Process data only according to your instructions - Implement appropriate security measures - Assist you in responding to data subject requests - Delete or return data upon termination of services Data Security: We implement industry-standard security measures, including encryption, access controls, and regular security audits.

8. Service Availability and Support

Availability: We strive to maintain 99.9% uptime for the Service. However, we do not guarantee uninterrupted access and may temporarily suspend the Service for maintenance, updates, or emergency repairs. Offline Mode: Our proprietary sync system enables continued operation during network outages. Data will synchronize automatically when connectivity is restored. Support: We provide technical support during business hours. Emergency support for critical issues is available 24/7 for enterprise customers.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that: - The Service will meet your specific requirements - The Service will be uninterrupted, timely, secure, or error-free - Any errors in the Service will be corrected - The results obtained from using the Service will be accurate or reliable

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QR COATS INC. SHALL NOT BE LIABLE FOR: - Any indirect, incidental, special, consequential, or punitive damages - Loss of profits, revenue, data, or business opportunities - Damages arising from your use or inability to use the Service - Any third-party claims against you OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless QR Coats Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: - Your use of the Service - Your violation of these Terms - Your violation of any third-party rights - Any content or data you submit through the Service

12. Termination

By You: You may terminate your account at any time by contacting us at support@qrcoats.com. Termination will be effective at the end of your current billing period. By Us: We may suspend or terminate your access to the Service immediately if: - You breach these Terms - You fail to pay fees when due - We are required to do so by law - We discontinue the Service (with 90 days' notice) Effect of Termination: Upon termination, your right to use the Service will immediately cease. We will retain Your Data for 30 days, during which you may request data export.

13. Governing Law and Disputes

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles. Dispute Resolution: Any disputes arising from these Terms shall be resolved through: 1. Good faith negotiation between the parties 2. Mediation in Montréal, Quebec if negotiation fails 3. Binding arbitration or litigation in the courts of Quebec if mediation fails Class Action Waiver: You agree to resolve disputes on an individual basis and waive any right to participate in class action lawsuits.

14. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy and any service agreements, constitute the entire agreement between you and QR Coats Inc. Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect. Waiver: Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision. Assignment: You may not assign these Terms without our written consent. We may assign these Terms without restriction. Force Majeure: We shall not be liable for any failure to perform due to causes beyond our reasonable control.
